THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of the 17th day of May, 2011, as revised the 18th day of November, 2011, by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”), on behalf of Ascendant Balanced Fund, Ascendant Natural Resources Fund, Ascendant MultiCap Equity Fund and Ascendant Patriot Fund (each a “Fund”, collectively the “Funds”) each series of the Trust, and the Advisor of the Fund, Ascendant Advisors, LLC (the “Advisor”).
