THIS UNDERWRITING AGREEMENT effective as of the 10th day of November 2012 by and between THE NORTH COUNTRY FUNDS, a Massachusetts business trust, having its principal office and place of business at 450 Wireless Blvd, Hauppauge, New York 11788 (the “Trust”), and NORTHERN LIGHTS DISTRIBUTORS, LLC, a Nebraska limited liability company having its principal office and place of business at 17605 Wright Street, Omaha, Nebraska 68130 (“NLD”).

This amendment is made as of the 1st day of December, 2012, to the Custody Agreement dated November 12, 2002 (the “Agreement”), between The Bank of New York Mellon (fka The Bank of New York) and The North Country Funds, a copy of which is attached.
