THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of the 28th day of August, 2014, by and between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), on behalf of RESQ Absolute Equity Fund, and RESQ Absolute Income Fund (each a “Fund” and collectively the “Funds”) a series of the Trust, and the Advisor of the Funds, RESQ Investment Partners, LLC (the “Advisor”).
