By this offer (the “Offer”), Socket Mobile, Inc. (“Socket Mobile,” “we,” “our” or “us”) is giving eligible service providers of Socket Mobile the opportunity to exchange some or all of their stock options granted under our 2004 Equity Incentive Plan, as amended (the “2004 Plan”), whether vested or unvested, that are outstanding at the start of this Offer and remain outstanding and unexercised through the expiration of this Offer (“eligible options”), for new options to purchase shares of our common stock (“new options”). New options will be granted under, and subject to, the terms and conditions of our 2004 Plan and option agreement thereunder. All employees, executive officers, directors and consultants of Socket Mobile who hold eligible options and remain service providers of Socket Mobile through the date of grant for new options may participate in this Offer (“eligible service providers”).
