This Stock and Warrant Purchase Agreement (this “Agreement”) is made as of the 21th day of December 2007 by and among QualMark Corporation, a Colorado corporation (the “Company”), and those investors listed on Exhibit A (each a “Purchaser” and, collectively, the “Purchasers”).

THIS EXPORT-IMPORT BANK LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of the Effective Date between SILICON VALLEY BANK, a California corporation with its principal place of business at 3003 Tasman Drive, Santa Clara, California 95054 and with a loan production office located at 380 Interlocken Crescent, Suite 600, Broomfield, CO 80021 (“Bank”), and QUALMARK CORPORATION, a Colorado corporation, with its chief executive office at 4580 Florence Street, Denver, CO 80238 (“QualMark”) and each of the other Persons executing this Agreement as a Borrower (together with QualMark, each a “Borrower” and collectively and jointly and severally, the “Borrowers”), provides the terms on which Bank shall lend to Borrowers and Borrowers shall repay Bank.
