This Agreement is made as of April 17, 2006, between Charles Schwab & Co., Inc. (“Schwab”), a California corporation, and each registered investment company executing this Agreement (“Fund Company”), on its own behalf and on behalf of each of its series or classes of shares listed on Schedule I (“Fund(s)”), as amended from time to time. In the event there are no series or classes of shares listed on Schedule I, then the term “Fund” shall mean “Fund Company”.
