This Limited Partnership Agreement (this “Agreement”) of Long-Term Equity Interests Plan 2011, LP (the “Partnership”) is made and entered into as of 11:59 p.m. on December 31, 2011 (the “Effective Time”), by and among the General Partner, the Initial Limited Partner (solely for purposes of Section 2.10), Affiliated Managers Group, Inc. (“AMG”) (solely for purposes of Sections 2.8, 2.9 and 10.16), the Persons identified as Limited Partners on Schedule A hereto, and the Persons who become Partners of the Partnership in accordance with the provisions hereof.
