THIS AGREEMENT, effective as of the 19th day of February, 2009 (“Effective Date”), is by and among GAMCO Investors, Inc., a corporation organized under the laws of New York (“GAMCO” or “Licensor”) and Teton Advisors, Inc., a corporation organized under the laws of Delaware and GAMCO Westwood Funds, a Massachusetts business trust (each a “Licensee” or collectively the Licensees).
