THIS TRANSITIONAL ADMINISTRATIVE AND MANAGEMENT SERVICES AGREEMENT (this “Agreement”) is dated as of February 19, 2009, between GAMCO Investors, Inc., a New York corporation (“GAMCO”), and Teton Advisors, Inc., a Delaware corporation (“TETON”) (sometimes referred to herein individually as “Party”, or together, as “Parties”).
