This Operating Agreement is entered into as of the 16th day of June, 2000, by and among (i) Christos M. Cotsakos and Thomas A. Bevilacqua, as managing members (the “Managing Members”), and (ii) E*Trade Group, Inc. (“E*Trade”) and each of the other persons whose names are set forth under the heading “Non-Managing Members” on Exhibit A attached hereto, as non-Managing Members (such persons and any additional non-Managing Member admitted after the date of this Agreement being referred to herein as the “Non-Managing Members”). The Managing Members and the Non-Managing Members are referred to herein collectively as the “Members.”
