THIS TENTH SUPPLEMENTAL INDENTURE, dated as of May 1, 2007, is between LEHMAN BROTHERS HOLDINGS INC., a corporation duly organized and existing under the laws of the State of Delaware (the “Company”), and THE BANK OF NEW YORK (as successor trustee to JPMorgan Chase Bank, N.A.), a banking corporation duly organized and existing under the laws of the State of New York, acting as Trustee under the Indenture referred to below (the “Trustee”).
