THIS AGREEMENT, dated as of the Effective Date specified below (this “Agreement”) is by and between Janus Management Holdings Corporation, a Delaware corporation (the “Company”) and Jonathan D. Coleman (the “Executive”), and shall be effective as of January 1, 2007 (the “Effective Date”). Executive and the Company are sometimes referred to in this Agreement as the “Parties,” or, individually, as a “Party.”
