Affiliated Managers Group, Inc., a Delaware corporation (the “Company”), proposes to issue and sell to the several underwriters listed in Schedule I hereto (the “Underwriters”), for whom you are acting as representatives (the “Representatives”), $400,000,000 aggregate principal amount of its 4.250% Senior Notes due 2024 (the “Securities”). The Securities will be issued pursuant to a base indenture dated as of February 11, 2014, as supplemented by the Supplemental Indenture to be dated as of February 11, 2014 (collectively, the “Indenture”), each between the Company and U.S. Bank National Association, as trustee (the “Trustee”).
