This NOTE PURCHASE AGREEMENT (this “Agreement”), is entered into as of January 31, 2022, by and between Cohen & Company, LLC, a Delaware limited liability company (the “Company”), and JKD Capital Partners I LTD, a New York corporation (“JKD”).
