THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of the 9th day of December, 2011, by and between MUTUAL FUND SERIES TRUST, an Ohio business trust (the “Trust”), on behalf of the Compass EMP Multi-Asset Balanced Fund, Compass EMP Multi-Asset Growth Fund and Compass EMP Alternative Strategies Fund (each a “Fund” and together the “Funds”), each a series of the Trust, and Compass Advisory Group, LLC (the “Advisor”), the advisor of the Funds.
