DayStar Technologies, Inc., a Delaware corporation (the “Company”), proposes to sell to the several underwriters (the “Underwriters”) named in Schedule I hereto for whom you are acting as Representative (the “Representative”) an aggregate of 1,700,000 Units (the “Firm Units”) issued by the Company. Each Unit will consist of one share (“Share”) of the common stock, par value $0.01 of the Company (“Common Stock”), one redeemable Class A Warrant and one non-redeemable Class B Warrant (the Class A Warrants and Class B Warrants are referred to herein individually as a “Warrant” and collectively as the “Warrants”) each to purchase one share of Common Stock.
