Reference is made to the Deposit Agreement, dated as of July 22, 2004 (the “Deposit Agreement”), by and among LG.Philips LCD Co., Ltd. (the “Company”), Citibank, N.A., as Depositary (the “Depositary”), and all Holders and Beneficial Owners from time to time of American Depositary Receipts (“ADRs”) evidencing American Depositary Shares (“ADSs”) issued thereunder, with two (2) ADSs representing one (1) Share (the “Shares”) of the Company. Capitalized terms used herein without definition shall have the meaning assigned thereto in the Deposit Agreement.
