This COMMON STOCK PURCHASE AGREEMENT, made and entered into on this 5th day of December 2012 (this “Agreement”), by and between Terrapin Opportunity, L.P., a limited partnership organized under the laws of the British Virgin Islands (the “Investor”), and Delcath Systems, Inc., a corporation organized and existing under the laws of the State of Delaware (the “Company”). Capitalized terms used but not defined herein shall have the meanings ascribed to such terms in Annex A hereto.
