THIS AGREEMENT is made as of January 20, 2014, between Centre Funds, formerly known as Drexel Hamilton Mutual Funds, organized as a statutory trust under the laws of the State of Delaware (the “Trust”), and ALPS Fund Services, Inc., a Colorado corporation (“ALPS”). This Agreement amends and restates in its entirety the prior Transfer Agency and Services Agreement entered between the parties on June 28, 2011, as amended.
