This Distribution Agreement (the “Agreement”) is made this 24th day of February, 2014 by and between Horizons ETF Trust, a Delaware Statutory Trust (the “Trust”) having its principal place of business at 1350 Avenue of the Americas, 33rd Floor, New York, New York 10019 and Foreside Fund Services, LLC, a Delaware limited liability company (the “Distributor”) having its principal place of business at Three Canal Plaza, Suite 100, Portland, ME 04101.

Reference is made to the Global Custodial Services Agreement dated as of February 24, 2014 (the “Agreement”) by and between Citibank, N.A. (the “Custodian”) and each open-ended management investment company listed on Schedule A of the Agreement as amended from time to time (each such investment company , a “Fund” and all such investment companies collectively, the “Client”). References in this Amendment to Rule 17f-5 or to specific provisions of Rule 17f-5 refer to Rule 17f-5 under the Investment Company Act of 1940, as adopted on or before the date hereof. References in this Amendment to Rule 17f-7 or to specific provisions of Rule 17f-7 refer to Rule 17f-7 under the Investment Company Act of 1940, as adopted on or before the date hereof.
