This Consulting Services Agreement (this “Agreement”) is dated October 9, 2004, and is entered into in Fujian, China between Hong Kong Yi Tat International Investment Limited, a limited company incorporated under the laws of Hong Kong Special Administration Region, located at RM1302-3 13/F Crocodile House II 55 Connaught Road Central, HK(“Party A”), and Fujian Jiaoguang Media Co., Ltd incorporated under the laws of the China (“Party B”), with a registered address at Wang Jiang Building, No. 18 Long Gu Du Jia Village, Lang Qi Economic Zone, Fuzhou, China. Party A and Party B are referred to collectively in this Agreement as the “Parties.”

This Option Agreement (this “Agreement”) is entered into, as of October 9, 2004, in Fujian, China by Hong Kong Yi Tat International Investment Limited, a limited company incorporated under the laws of Hong Kong Special Administration Region, located at RM1302-3 13/F Crocodile House II 55 Connaught Road Central, HK (“Party A”), Fujian Jiaoguang Media Co., Ltd, incorporated under the laws of the China (“Party B”), with a registered address at Wang Jiang Building, No. 18 Long Gu Du Jia Village, Lang Qi Economic Zone, Fuzhou, China and each of the shareholders of Party B listed on the signature pages hereto (collectively, the “Party C”), Party A, Party B and Party C are referred to collectively in this Agreement as the “Parties.”
