This Agreement, dated as of the 27th day of May 2008, by and between Capital Management Investment Trust (the “Fund”), a business trust operating as a registered open-end management investment company registered under the Investment Company Act of 1940, as amended (the “Act”), duly organized and existing under the laws of the State of Massachusetts and Matrix Capital Group, Inc. (“Matrix”), a corporation duly organized under the laws of the State of New York (collectively, the "Parties").
