THIS AGREEMENT is made and entered into as of the 15th day of May, 2008, by and between CAPITAL MANAGEMENT INVESTMENT TRUST, a Massachusetts business trust (the "Trust"), and U.S. BANK NATIONAL ASSOCIATION, a national banking association organized and existing under the laws of the United States of America with its principal place of business at Cincinnati, Ohio (the "Custodian").

This Agreement made this 25th day of June, 2008, by and among CAPITAL MANAGEMENT INVESTMENT TRUST, a Massachusetts business trust (the “Trust”), SHIELDS & COMPANY, INC., a New York Corporation (the “Distributor”), and MATRIX CAPITAL GROUP, INC., a New York Corporation (the “Sub-Distributor”).
