THIS AGREEMENT (the “Agreement”) is made effective as of April 16 , 2018, between Total Income + Real Estate Fund, a Delaware statutory trust (the “Fund”), and ALPS Distributors, Inc., a Colorado corporation (“ALPS”).

THIS FIRST AMENDED AND RESTATED INVESTMENT MANAGEMENT AGREEMENT (the "Agreement") is entered into this 2nd day of November, 2018 by and between RREEF America L.L.C., a Delaware limited liability company (the "Investment Manager"), and Bluerock Fund Advisor, LLC, a Delaware limited liability company (the “Client”).

THIS AGREEMENT (this “Agreement”) is made as of April 27, 2018, by and between ALPS Fund Services, Inc., a Colorado corporation (“ALPS”), and each of the funds listed on Appendix C (each a “Fund” and collectively the “Funds”) that are advised by any affiliate of or directly Bluerock Asset Management, LLC (collectively, with its affiliates, “Bluerock”).
