THIS RESTRICTED STOCK UNITS AGREEMENT (the “Agreement”) confirms the grant on August 21, 2009 (the “Grant Date”) by Broadpoint Gleacher Securities Group, Inc., a New York corporation (the “Company”), to Lee Fensterstock (“Employee”) of Restricted Stock Units (the “Units”), including rights to Dividend Equivalents as specified herein, as follows:

This Amendment (the “Amendment”) to the Agreement (the “Agreement”), dated September 21, 2007, by and between Broadpoint Gleacher Securities Group, Inc. (formerly, First Albany Companies, Inc.) ( “Company”) and Lee Fensterstock (“Executive”), is made and entered into as of the 21st day of August, 2009 (the “Amendment Effective Date”), by and between Company and Executive. Capitalized terms used herein and not otherwise defined herein shall have the meanings ascribed thereto in the Agreement.
