The undersigned, Steven R. Mumma is the Chief Executive Officer and President of New York Mortgage Trust, Inc., a Maryland corporation (the “Company”). The undersigned hereby executes and delivers this Certificate as of the date hereof pursuant to Section 7(o) of the Equity Distribution Agreements, each dated March 20, 2015 (collectively, the “Equity Distribution Agreements”), between the Company and each of JMP Securities LLC and MLV & Co. LLC. Capitalized terms used herein without definition shall have the meanings given to such terms in the Equity Distribution Agreements.
