The Borrower hereby represents and warrants that: (i) the Committed Loan requested herein complies with the provisions of Section 2.01 and Section 2.02 of the Credit Agreement[, ] [and] (ii) the conditions specified in Section 4.02 of the Credit Agreement are satisfied on the date hereof and will be satisfied as of the date of the requested Committed Borrowing [and (iii) after giving effect to the Committed Loan requested to be made, the sum of cash and cash equivalents of the Loan Parties shall not exceed $40,000,000 in the aggregate]5.
