THIS AGREEMENT is made and entered into as of the 25th day of March, 2015, by and between Dearborn Capital Management, LLC (the “Adviser”), a limited liability company organized under the laws of Illinois and registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and Middleton Dickinson Capital Management, LLC, a limited liability company organized under the laws of Illinois (the “Subadviser”) and also registered under the Advisers Act, with respect to the Grant Park Fixed Income Fund (the “Fund”), a series of the NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”).

THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of the 19th day of May 2015 by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”), on behalf of Ladenburg Aggressive Growth Fund, Ladenburg Growth Fund, Ladenburg Growth & Income Fund, Ladenburg Income & Growth Fund, Ladenburg Income Fund (each a “Fund”) and collectively, referred to as the “Funds”) a series of the Trust, and the Advisor of the Funds, Ladenburg Thalmann Asset Management, LLC (the “Advisor”).
