This AGREEMENT is made as of May 28, 2015 between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), and Absolute Capital, LLC, a Pennsylvania limited liability company (the “Adviser”) located at 101 Pennsylvania, BLD., Pittsburgh, PA 15228.

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 28th day of May, 2015, by and between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), on behalf of the Asset Allocator Fund and Portfolio Protector Fund (each a “Fund” and collectively the “Funds”) a series of the Trust, and the Advisor of the Funds, Absolute Capital, LLC, (the “Advisor”).
