THIS FIRST AMENDMENT TO OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “First Amendment”) is made and entered into as of January 25, 2016, by and between MUTUAL FUND SERIES TRUST, (the “Trust”), an Ohio business trust (the “Trust”), on behalf of the Jag Large Cap Growth Fund (the “Fund”), a series of the Trust, and JAG Capital Management LLC (the “Advisor”), the advisor of the Fund.
