AGREEMENT, made as of December 12, 2017 between Northern Lights Fund Trust, a Delaware statutory trust (the "Trust"), and BTS Asset Management, Inc., a corporation organized and existing under the laws of the State of Massachusetts (the "Adviser") located at 420 Bedford Street, Suite 340, Lexington, MA 02420.

WHEREAS, the Advisor renders advice and services to the Funds pursuant to the terms and provisions of an Investment Advisory Agreements between the Trust and the Advisor dated as of the 6th day of February, 2013 with respect to BTS Tactical Fixed Income Fund, as of the 12th day of December, 2017 with respect to the BTS Managed Income Fund (the “Investment Advisory Agreement”); and
