THIS UNDERWRITING AGREEMENT (this “Agreement”) dated the 1st day of February, 2019 (the “Effective Date”), is entered into by and between MUTUAL FUND SERIES TRUST, an Ohio business trust, having its principal office and place of business at 17645 Wright Street, Suite 200, Omaha, Nebraska 68130 (the “Trust”), and NORTHERN LIGHTS DISTRIBUTORS, LLC, a Nebraska limited liability company having its principal office and place of business at 17645 Wright Street, Suite 200, Omaha, Nebraska 68130 (“NLD”). Capitalized terms used herein and not otherwise defined shall have the meaning prescribed to them in Section 16 of this Agreement.
