THIS OPERATING EXPENSES LIMITATION AGREEMENT (this “Agreement”) is effective as of the ___day of [______] 2023, by and between Northern Lights Fund Trust II, a Delaware statutory trust (the “Trust”), on behalf of the series of the Trust listed on Appendix A which may be amended from time to time (each a “Fund” and, collectively, the “Funds”), and the Adviser of the Funds, Hodges Capital Management, Inc. (the “Adviser”).

Capitalized terms used herein that are not otherwise defined shall have the same meanings ascribed to them in the Agreement.
