This AGREEMENT is made as of [November 13, 2023] between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), and Counterpoint Funds LLC, a Delaware limited liability company (the “Adviser”) located at 12760 High Bluff Drive, Suite 280 San Diego, CA 92130.

THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is made as of the 13th day of November, 2023, by and between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), on behalf of COUNTERPOINT QUANTITATIVE EQUITY ETF (a “Fund”) a series of the Trust, and the advisor of the Fund, COUNTERPOINT FUNDS LLC (the “Advisor”).
