This award is made outside of, and not from, the Company’s 2007 Performance Incentive Plan, (the “Plan”). Nevertheless, this award is subject to the terms and conditions set forth in the Plan, any rules and regulations adopted by the Board of Directors of the Company (the “Board”) or the committee of the Board which administers the Plan (the “Committee”), and this Stock Option Award Agreement (the “Award Agreement”). Unless otherwise defined herein, the terms defined in the TheStreet, Inc. (the “Company”) 2007 Performance Incentive Plan, as amended and restated effective April 14, 2015 (the “Plan”) will have the same defined meanings in this Award Agreement.
