This Energy Management Agreement (this “Agreement”) dated as of the 17th day of August, 2004, is between KGen Hot Spring LLC, a Delaware limited liability company (the “Owner”) and The Cincinnati Gas & Electric Company, an Ohio corporation (the “Energy Manager”).
