This Equalization, Transfer and Exchange Agreement (this “Agreement”) is made and entered into as of March 1, 2017, by and among (i) Daniel S. Och, individually (“Dan”), (ii) Susan Och Kalver and Jonathan Och, as trustees of the Family Trust created under Article III of The Jane C. Och 2011 Descendants’ Trust Agreement, dated October 26, 2011 (the “JODT”), (iii) Daniel S. Och and Jane C. Och, as trustees of the Family Trust created under Article IV of The Daniel S.
