This Memo of Understanding ("MOU") is entered into by and between Music Event Management, Inc. ("MEMI") and the City of Huber Heights, Ohio (the "City") (together referred to as the "Parties") on the day of ,2014 for the purpose of defining and clarifying the Facility Management Agreement entered into between MEMI and the City on June 23, 2014 with regard to among other things the process to be employed between MEMI and the City pursuing and obtaining contracts to perform from specific performers, entertainers, musical groups, etc. ("Talent") at the Facility as that term is defined in the Facility Management Agreement (hereinafter "Agreement").
