AGREEMENT made this 14th day of July, 2006, among John Hancock Advisers, LLC, a Delaware limited liability company (the “Adviser”), Independence Investments, LLC a Delaware limited liability company (the “Sub-adviser”) and John Hancock Institutional Series Trust, a business trust under the laws of the Commonwealth of Massachusetts (the “Trust”) on behalf of the John Hancock Independence Diversified Core Equity Fund II (the “Fund”), a series of the Trust.
