THIS JOINT VENTURE CONTRIBUTION AND FORMATION AGREEMENT (this “Agreement”) is made as of January 13, 2009, by and between Citigroup Inc., a Delaware corporation (“Citigroup”), and Morgan Stanley, a Delaware corporation (“Morgan Stanley”) (hereinafter, each of which may be called a “Party” and may collectively be called the “Parties”).

This First Amendment (this “Amendment”) to the Joint Venture Contribution and Formation Agreement, dated as of August 10, 2017 (as amended, restated or modified from time to time, the “Agreement”), is entered into as of January 8, 2018 by and among SEACOR LB Holdings LLC, a Delaware limited liability company (“SLH”), and Montco Offshore, Inc., a Louisiana corporation (“MOI”, and together with SLH, the “Parties”).
