This agreement for the development, production, manufacturing, and supply of personal care and home fragrance products (the “Agreement”) by and between The Gap, Inc., Banana Republic, LLC, Gap (Apparel), LLC, Gap (ITM) Inc., Banana Republic (Apparel), LLC, Banana Republic (ITM) Inc., Gap (Canada), Inc., and Gap (Puerto Rico), Inc. (collectively, the “Company”), on the one hand, and Inter Parfums, Inc. and its wholly-owned subsidiary Inter Parfums USA, LLC (individually or collectively, “Vendor”), on the other hand, is entered into as of March 1, 2010 (the “Effective Date”). The parties’ agreement dated as of July 14, 2005, together with the amendments thereto, is hereby deemed terminated and is replaced and superseded in its entirety by this Agreement. For the avoidance of doubt, the License Agreement dated as of July 1, 2007 (the “License Agreement”) shall not be replaced and superseded by this Agreement but shall remain in full force and effect.

Personal Care Agreements are formal contracts that can be established when care needs to be provided for a loved one. These contracts can be used whether the caregiver is a family member or not. They can establish what is expected of the caregiver and of the family. It will outline what compensation (if any) the caregiver will receive, keep in mind the amount of compensation provided should align with what would typically be provided in your area for the services provided. Because the Personal Care Agreement can be used to avoid family conflicts it should be discussed with everyone involved (directly or indirectly) before it is drafted and signed.
