THIS PHANTOM SHARE AGREEMENT (this “Agreement”) is made as of August 9, 2006 (the “Grant Date”), between Sterling Bancshares, Inc., a Texas corporation (the “Company”), and STEPHEN C RAFFAELE (the “Employee”) and is made pursuant to and subject to the provisions of the Sterling Bancshares, Inc. 2003 Stock Incentive and Compensation Plan, and any amendments thereto (the “Plan”).
