This Private Label Purchase Agreement is made and entered into as of this 23rd day of May, 2007 (“Effective Date”), by and between Fusion Telecommunications International, Inc. (“Fusion”), a company organized under the laws of the State of Delaware, having its principal place of business at 420 Lexington Avenue, Suite 1718, New York, New York 10170 and Digital FX International, Inc., a company organized under the laws of the State of Florida (“DFX”).
