THIS PROFITS INTEREST AWARD AGREEMENT (this “Agreement”) is made as of the grant date specified on the signature page hereto (the “Grant Date”), among Wheels Up Partners Holdings LLC, a Delaware limited liability company (the “Company”), Wheels Up MIP LLC, a Delaware limited liability company (“MIP LLC”), and the recipient identified on the signature page hereto (“Recipient”).
