This Service Level Addendum for SaaS (this “Service Level Addendum”) is entered into by and between the parties listed, and as of the Effective Date stated, on the quote, referencing agreement or any other agreement that references this Service Level Addendum (the “Referencing Agreement”). For clarity, “Customer” is the specific entity listed on the Referencing Agreement and does not include parents, subsidiaries, or any other affiliated entities (unless specifically listed in the Referencing Agreement). Capitalized terms used but not defined in this document have the meanings assigned to them elsewhere in the Referencing Agreement.

This Exhibit A (Service Level Addendum) (“SLA”) is subject to and made a part of the Master Subscription Agreement to which this SLA is attached, (the “Agreement”) and is effective as of the date that it is attached to the Agreement (the “SLA Effective Date”). These Service Level Addendum is incorporated into and subject to the Chatitive Platform as a Service Agreement (the “Agreement”) under which Customer acquired its rights to use the Chatitive Services. This Addendum describes the service levels applicable to the Chatitive Services, and is an “Additional Terms of Use” for purposes of the Agreement. Except as otherwise expressly defined in this Addendum, capitalized terms have the meaning ascribed to them in the Agreement.

SunGard Financial Systems LLC and Penson Financial Services, Inc. hereby agree that the document attached hereto labeled “Schedule E Phase3 Service Level Addendum to the Remote Processing Agreement SunGard/Penson Financial Services, Inc.” is the Service Level Addendum originally contemplated in the Amendment, dated July 25, 2006, to that certain Remote Processing Agreement (the “Remote Processing Agreement”) between SunGard Financial Systems LLC (formerly SunGard Financial Systems Inc.) and Penson Financial Services, Inc. dated July 10, 1995 and shall be deemed to form a part of the Remote Processing Agreement as of the date hereof.
