THIS STAFF LEASING AGREEMENT (the “Agreement”) is made and entered into effective as of April 1, 2011 (the “Effective Date”), by and between RHA Anadarko, LLC, an Oklahoma limited liability company (the “Company”), and First Physicians Resources LLC, a Nevada limited liability company (the “Lessor”), in connection with that certain Stock Purchase Agreement dated as of April 1, 2011 (the “Purchase Agreement”), by and among One Cura Wellness Trust, Inc., a California not-for-profit corporation (“Buyer”); the Company, RHA Stroud, LLC, an Oklahoma limited liability company (“RHA Stroud”), and Rural Hospital Acquisition LLC, an Oklahoma limited liability company (“Seller”).
