THIS SUBSTITUTION AND ASSUMPTION AGREEMENT AND RELEASE (“Agreement”) is effective as of the 31st day of December, 2021, between Manning & Napier, Inc., a Delaware corporation (the “Company”), M&N Group Holdings, LLC, a Delaware limited liability company (“Holdings”), MNA Advisors, Inc. (f/k/a Manning & Napier Advisors, Inc.), a New York corporation (“MNA”), Manning & Napier Capital Company, LLC, a New York limited liability company (“MNCC”) and each of the other undersigned parties hereto (collectively, the “Parties”).
