THIS THIRD AMENDED AND RESTATED SECURITY AGREEMENT (the “Agreement”), is entered into and made effective as of July 3, 2007, by and between TELEPLUS WORLD CORP., a Nevada corporation with its principal place of business located at 6101 Blue Lagoon Drive, Suite 450, Miami, Florida 33126 (the “Company”), and the BUYER(S) listed on Schedule I attached to the Securities Purchase Agreement dated the date hereof (the “Secured Party”).

This THIRD AMENDED AND RESTATED SECURITY AGREEMENT (“Agreement”), entered into as of October 29, 2015, among THE GREENBRIER COMPANIES, INC., an Oregon corporation (the “Company” or the “Borrower”), the other parties identified as “Debtors” on the signature pages hereto and such other parties that may become Debtors hereunder after the date hereof (together with the Company, the “Debtors” and individually a “Debtor”) in favor of BANK OF AMERICA, N.A., as administrative agent for its benefit and for the benefit of the other holders of the Secured Obligations (as defined below) (in such capacity, and together with its successors and permitted assigns, the “Administrative Agent”).
