ABL Loan Obligations definition

ABL Loan Obligations means (a) the principal of each loan made under the ABL Credit Agreement, (b) all reimbursement and cash collateralization obligations in respect of letters of credit issued under the ABL Credit Agreement, (c) all Bank Product Liabilities (as defined in the ABL Credit Agreement), (d) all interest on the loans, letter of credit reimbursement, fees, indemnification and other obligations under the ABL Credit Agreement, or with respect to such Bank Product Liabilities (as defined in the ABL Credit Agreement) (including, without limitation, any interest, fees and other amounts which accrue after the commencement of any case, proceeding or other action relating to a Bankruptcy Proceeding (as defined in the ABL Credit Agreement) of the Company or any Subsidiary Guarantor (as defined in the ABL Credit Agreement), whether or not allowed or allowable, in whole or in part, as a claim in such Bankruptcy Proceeding (as defined in the ABL Credit Agreement)), (e) all other amounts payable by the Company or any Subsidiary under the ABL Loan Documents or in respect of Bank Product Liabilities (as defined in the ABL Credit Agreement) and (f) all increases, renewals, extensions and refinancings of the foregoing.
ABL Loan Obligations means all “Secured Obligations” under the ABL Credit Agreement; provided that such Indebtedness is subject to the Intercreditor Agreement.
ABL Loan Obligations means (a) the principal of each Loan made under the Credit Agreement, (b) all reimbursement and cash collateralization obligations in respect of letters of credit issued under the Credit Agreement, (c) all Senior Loan Bank Product Liabilities (as defined in the Credit Agreement), (d) all interest on the loans, letter of credit reimbursement, fees, indemnification and other obligations under the Credit Agreement, or with respect to such Senior Loan Bank Product Liabilities (as defined in the Credit Agreement) (including, without limitation, any interest, fees and other amounts which accrue after the commencement of any case, proceeding or other action relating to a Bankruptcy Proceeding (as defined in the Credit Agreement) of the Company or any Subsidiary Loan Party (as defined in the Credit Agreement), whether or not allowed or allowable, in whole or in part, as a claim in such Bankruptcy Proceeding (as defined in the Credit Agreement)), (e) all other amounts payable by the Company or any Subsidiary under the ABL Loan Documents or in respect of Senior Loan Bank Product Liabilities (as defined in the Credit Agreement) and (f) all increases, renewals, extensions and refinancings of the foregoing.

  • Anything to the contrary contained herein notwithstanding, the subordination of the Liens of an Agent for the benefit of its Claimholders to the Liens of the other Agent for the benefit of its Claimholders as set forth herein is with respect to the priority of the respective Liens held by or on behalf of them only and shall not constitute a subordination of the Term Loan Obligations to the ABL Obligations or ABL Loan Obligations to the Term Loan Obligations, as applicable.

  • The DIP Agent, the DIP Lenders, the Prepetition Agents and the Prepetition Lenders shall not be required to file proofs of claim in any of the Chapter 11 Cases or any of the Successors Cases for any claim allowed herein or therein in respect of the ABL Loan Obligations or the Prepetition Term Loan Obligations.

More Definitions of ABL Loan Obligations

ABL Loan Obligations means the “Obligations” (under and as defined in the ABL Credit Agreement on the Closing Date), and shall include all obligations of the Note Parties, which are incurred or owing under the ABL Loan Documents, including all obligations in respect of the payment of principal, interest, fees, prepayment premiums and indemnification obligations, and obligations in respect of any refinancing of such Indebtedness.
ABL Loan Obligations means all principal, interest, and other obligations owing under the ABL Documents.
ABL Loan Obligations means, collectively, without duplication, at any time and from time to time (a) all loans, advances, debts, liabilities, and obligations, howsoever arising, owed by any Grantor under the ABL Loan Documents and this Agreement to any Loan Party, to any Secured Hedging Creditor or to any Secured Cash Management Creditor, of every kind and description (whether or not evidenced by any note or instrument and whether or not for the payment of money), direct or indirect, absolute or contingent, due or to become due, now existing or hereafter arising, including (i) all principal and payments for early termination, (ii) all interest, fees, charges, premiums, breakage costs, expenses, attorneys’ fees and consultants’ fees chargeable to any Grantor by any Loan Party under the ABL Loan Documents and this Agreement, (iii) all obligations of the Grantors under the ABL Loan Guarantee, (iv) all obligations to deliver cash collateral under the ABL Loan Documents, (v) all amounts constituting reasonable costs and expenses, fees, indemnities expenses and other amounts (including reasonable fees and expenses of attorneys) owing to the ABL Loan Collateral Agent, (vi) all accrued interest, fees, costs and other charges in and under the ABL Loan Documents, whether incurred before or after the commencement by or against any Grantor of any proceeding under any Bankruptcy Law naming such Person as the debtor in such proceeding, regardless of whether or not allowable in such proceeding, (vii) all obligations of the Grantors in respect of the Secured Hedging Obligations, and (viii) all obligations of the Grantors in respect of the Secured Cash Management Obligations; (b) in the event of any exercise of rights and remedies, the expenses of retaking, holding, preparing for sale or lease, selling or otherwise disposing of or realizing on the ABL Loan Collateral, together with attorneys’ fees and court costs; and (c) payment of any amount owed under any amendment, modification, renewal, extension or novation of any of the above obligations or under and in respect of any other documents, instruments or certificates executed in connection with any of the foregoing.   • Second Lien Obligations means the “Obligations” as defined in the Second Lien Credit Agreement.

To the extent any payment with respect to any Second Priority Obligation (whether by or on behalf of any Loan Party, as proceeds of security, enforcement of any right of setoff or otherwise) is declared to be a fraudulent conveyance or a preference in any respect, set aside or required to be paid to a debtor in possession, any First Priority Secured Party, receiver or similar Person, then the obligation or part thereof originally intended to be satisfied shall, for the purposes of this Agreement and the rights and obligations of the First Priority Secured Parties and the Second Priority Secured Parties hereunder, be deemed to be reinstated and outstanding as if such payment had not occurred.

  • Additional First Lien Obligations means all amounts owing to any Additional First-Lien Secured Party (including the Initial Additional First-Lien Secured Parties) pursuant to the terms of any Additional First-Lien Document (including the Initial Additional First-Lien Documents), including, without limitation, all amounts in respect of any principal, premium, interest (including any interest accruing subsequent to the commencement of a Bankruptcy Case at the rate provided for in the respective Additional First-Lien Document, whether or not such interest is an allowed claim under any such proceeding or under applicable state, federal or foreign law), penalties, fees, expenses, indemnifications, reimbursements, damages and other liabilities, and guarantees of the foregoing amounts.

  • First Lien Loan Documents means the “Loan Documents” as defined in the First Lien Credit Agreement.

  • Subordinate Obligations means, collectively, the Subordinate Notes and any Other Subordinate Obligations.

  • Junior Priority Obligations means the Initial Junior Priority Obligations and any Additional Obligations constituting Junior Priority Debt.

  • Credit Facility Obligations means all “Obligations” (or any other defined term having a similar purpose) as defined in the Credit Agreement.

  • First Lien Obligations means the Obligations and the Permitted Other Indebtedness Obligations that are secured by Liens on the Collateral that rank on an equal priority basis (but without regard to the control of remedies) with Liens on the Collateral securing the Obligations.

  • Priority Lien Obligations means the Priority Lien Debt and all other Obligations in respect of Priority Lien Debt.

  • Canadian Obligations means the Obligations owing by the Canadian Borrower.

  • First Lien Indebtedness means Consolidated Total Indebtedness that is secured by a Lien on the Collateral, except by a Lien that is junior to the Liens on the Collateral securing the First Lien Obligations.

  • Senior Lender Claims means (a) the principal of all Indebtedness outstanding under one or more of the Senior Lender Documents to the extent not prohibited by the Indenture (as in effect on the date hereof), and (b) all other Obligations not constituting principal of Indebtedness of any Obligor under the Senior Lender Documents, including, without limitation, all claims under the Senior Lender Documents for interest, fees, expense reimbursements, indemnification and other similar claims. Senior Lender Claims shall include all interest accrued or accruing (or which would, absent the commencement of an Insolvency or Liquidation Proceeding, accrue) after the commencement of an Insolvency or Liquidation Proceeding in accordance with and at the rate specified in the Senior Credit Agreement whether or not the claim for such interest is allowed as a claim in such Insolvency or Liquidation Proceeding. To the extent any payment with respect to the Senior Lender Claims (whether by or on behalf of any Obligor, as proceeds of security, enforcement of any right of setoff or otherwise) is declared to be fraudulent or preferential in any respect, set aside or required to be paid to a debtor in possession, trustee, receiver or similar Person, then the obligation or part thereof originally intended to be satisfied shall be deemed to be reinstated and outstanding as if such payment had not occurred. Notwithstanding anything to the contrary contained in the first sentence of this definition, any principal Indebtedness (including reimbursement obligations for drawn or undrawn letters of credit) incurred under the Senior Credit Agreement shall constitute a "Senior Lender Claim" (whether or not such Indebtedness is at any time determined not to have been permitted to be incurred under the Indenture), to the extent, after giving effect to such incurrence, the aggregate principal amount of Indebtedness outstanding under the Senior Credit Agreement does not exceed $15,000,000 (less any prior permanent reductions in the Revolving Loan Commitment).
