Accelerated Redemption Date definition

Accelerated Redemption Date means a date that is the earlier of (i) two (2) Trading Days and (ii) the number of Trading Days comprising the Standard Settlement Period (as defined below) after an additional Monthly Redemption Notice in respect of an Accelerated Redemption, which notice is provided in accordance with Section 6(c)(iii) herein.
Accelerated Redemption Date has the meaning set forth in Section 2.04.

Examples of Accelerated Redemption Date in a sentence

  • Any payment of an Accelerated Redemption shall be paid in Shares of Common Stock on the Monthly Redemption Date or Accelerated Redemption Date that relates to the Monthly Redemption Notice (or an additional Monthly Redemption Notice, as the case may be) indicating an Accelerated Redemption.

  • Such Redemption notice shall also specify the Business Day on which the Redemption will occur, which shall be no more than 10 days following the giving of the Redemption Notice (the applicable date being the "Class A Limited Partner Accelerated Redemption Date").

  • The Company shall give notice of redemption five (5) Business Days prior to the Accelerated Redemption Date if possible and in any event as soon as practicable.

  • If the Class A Limited Partners exercise this redemption right, the General Partner shall cause the Redemption of the Class A Limited Partnership Interests to occur on the Class A Limited Partner Accelerated Redemption Date.

  • On the Accelerated Redemption Date, the Fund shall cause the VMTP Shares to be redeemed by payment to the TDI Purchaser, in immediately available funds, including by delivery of such funds to the TDI Purchaser through the Securities Depository, of a redemption price equal to the sum of (i) the aggregate Liquidation Preference of the VMTP Shares plus (ii) all accumulated but unpaid dividends thereon (whether or not declared) to, but not including, the Accelerated Redemption Date.

  • Alternative Accelerated Redemption Date means the day falling two Business Days immediately succeeding the relevant ARS Payment Cut-off Date under the Total Return Swap.

  • These indexes are widely used by the market (rating agencies and financial institutions) and serve as a benchmark to assess the financial situation of Vale.

  • Alternative Accelerated Redemption Date means the day falling two Business Days immediately succeeding the relevant KZT Payment Cut-off Date under the Total Return Swap.

Related to Accelerated Redemption Date

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).

  • Initial Redemption Date means, with respect to any Note or portion thereof to be redeemed pursuant to Section 3.1(b), the date on or after which such Note or portion thereof may be redeemed as determined by or pursuant to the Indenture or a Note Certificate of Supplemental Indenture.

  • Monthly Redemption Date means the 1st of each month, commencing immediately upon the nine month anniversary of the Original Issue Date and terminating upon the full redemption of this Debenture.

  • Series A Redemption Date has the meaning set forth in Section 16.6.

  • Optional Redemption Period shall have the meaning set forth in Section 6(a).

  • Optional Redemption Pricing Date means a Valuation Date on which a Redemption Order is determined to be valid and accepted by or on behalf of the Issuer in accordance with the terms of the LS Operating Procedures Agreement.

  • Automatic Early Redemption Date means each Automatic Early Redemption Date specified in the relevant Final Terms.

  • Mandatory Redemption Date means, in respect of a Mandatory Redemption Event, the date designated as such in accordance with Condition 8.7.

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Tax Event Redemption Date means the date upon which a Tax Event Redemption is to occur.

  • Scheduled Redemption Date means the first (1st) Business Day following the twenty first (21st) anniversary of the Issue Date.

  • Minimum Redemption means, in relation to the Euro Non-RDR ‘Retail’ Unhedged Distribution Shares, a minimum redemption of €250 or such lesser amount as may be agreed by the Directors;

  • Early Redemption Date means the date on which the Notes become due and payable pursuant to Condition 9;

  • Change of Control Redemption Date shall have the meaning set forth in Section 7.2;

  • Optional Redemption Amount means the sum of (i) 100% of the principal amount of the Debenture then outstanding, (ii) accrued but unpaid interest and (iii) all liquidated damages and other amounts due in respect of the Debenture.

  • Make-whole Redemption Rate means the sum, as calculated by the Make-whole Calculation Agent, of the Benchmark Rate and the Make-whole Margin.

  • Minimum Redemption Amount has the meaning specified in the applicable Final Terms;

  • Make-Whole Redemption Price means, in respect of each Bond, (a) the principal amount of such Bond or, if this is higher, (b) the sum of the then present values of the remaining scheduled payments of principal and interest discounted to the Optional Redemption Date on an annual basis (based on the actual number of days elapsed divided by 365 or (in the case of a leap year) by 366) at the Reference Dealer Rate (as defined below) plus 0.15 per cent., in each case as determined by the Determination Agent;
