Acquired Domain Names definition

Acquired Domain Names means all right, title and interest of the Seller or its Affiliates in the domain names listed in part 1 of Schedule 8;
Acquired Domain Names means (a) ***, (b) *** and (c) all goodwill associated with any of the foregoing and all registrations, applications for registration, renewals and extensions of any of the foregoing.
Acquired Domain Names means: (a) the Domain Names Identified on Schedule 1.1(b); and (b) all Domain Names Related to the Business, other than the Domain Names Excluded on Schedule 1.1(b).

Examples of Acquired Domain Names in a sentence

  • No Actions are pending, or threatened by Seller or any of its Affiliates during the past three (3) years, asserting that any Person has infringed, misappropriated, diluted, or otherwise violated any rights of Seller or any of its Affiliates with respect to the Acquired Trademarks or the Acquired Domain Names.

  • It is understood that any finding of invalidity of one assignment as effected hereby will not affect the assignment of other Acquired Domain Names.

  • None of the Acquired Trademarks or Acquired Domain Names is the subject of any consent or Order of or by any Governmental Body, arbitrator or arbitration panel restricting Seller’s rights in and to such Acquired Assets or affecting the validity, enforceability, use, right to use, ownership, registration, or scope, as applicable, of any such Acquired Asset or triggering any payment obligations with respect to any such Acquired Assets.

  • The parties acknowledge that in order to effect the sale, transfer, assignment and transfer of registration of the Acquired Domain Names from Spectrum to Allergan, the parties must follow certain procedures stipulated by the registrar of each such Acquired Domain Name (the “Domain Transfer Procedures”).

  • The Acquired Trademarks and the Acquired Domain Names are the only Trademarks and Domain Names owned by any Seller Group member or the Additional Seller Group Company that are used solely in connection with the Business.

  • For clarity, Seller and its Affiliates shall not remove the content on web pages for the Acquired Domain Names which will be hosted by Purchaser or one of its Affiliates to the extent such content constitutes Acquired IP and is content regarding the Business.

  • Assignor hereby authorizes and requests the applicable registration authority to transfer the Acquired Domain Names from the Assignor to Assignee.

  • The applicable Seller Group member and the Additional Seller Group Company shall have provided Purchaser evidence reasonably satisfactory to Purchaser of the transfer of the Acquired Domain Names to the applicable Purchaser Group member or JV Subsidiary.
